The legal nature of securitization under the laws of Russia and Hong Kong

В статье исследуется правовая природа секьюритизации как разновидности инвестиционной деятельности, направленной на трансформацию неликвидных активов, в том числе ипотечных, в ликвидные, результатом которой выступает эмиссия особых ценных бумаг. Российская статутная модель, основанная на целевой правоспособности специализированных обществ, сопоставляется с договорно-прецедентной моделью Гонконга, опирающейся на доктрину true sale и структуру «сиротского» SPV. Выявляются общие функциональные элементы моделей и различия в средствах их достижения, формулируются практические рекомендации для правоприменения.

The article examines the legal nature of securitisation as a type of investment activity aimed at transforming illiquid assets, including mortgage assets, into liquid ones, the result of which is the issuance of special securities. The Russian statutory model, based on the special legal capacity of specialised companies, is compared with Hong Kong’s contractual, precedent-based model relying on the true sale doctrine and the orphan SPV structure. Common elements of the models and differences in the means of achieving them are identified, and practical recommendations for law enforcement are formulated.
